Alice is a UK qualified solicitor, having trained at Clifford Chance LLP in London, with an overseas secondment in Abu Dhabi focusing on M&A. She subsequently worked in Dubai as legal counsel for Natixis, one of France’s largest investment banks, supporting the bank with their activity across the Middle East focusing on trade finance, syndicated lending, Islamic finance and various regulatory/compliance aspects of banking. Her focus is on banking and finance law, together with general corporate and commercial advisory work with a UAE specific expertise.


Selected representative roles and matters: 

  • Assisting a leading UAE airline with its employment documentation, service contracts, various import/export issues (such as Incoterms) and suite of bank guarantee documents.
  • Reviewing and advising on shareholders’ agreements, JV agreements and voting rights for a major wine and spirits brand.
  • Working on complex Mubadala corporate restructuring.
  • Working on GDPR policies, GDPR gap analysis and data privacy issues. 
  • Assisting major UK banks such as HSBC with various programme updates (index-linked notes). Responsible for drafting ancillary documents, prospectus/offering circular updates, amending dealer agreements and trust deeds.
  • Working on ISDAs with focus on Shariah compliant Islamic derivatives and repurchase agreements (murabaha, tahawwut, etc) including netting analysis in several Middle Eastern jurisdictions (Qatar, Kuwait, Saudi, Egypt, Bahrain).
  • Working on DFSA licensing issues such as client agreements regarding client classification, license updates, etc.
  • Due diligence of Middle East’s largest venture capital fund for a private investor.
  • Assisting in defence documents for the Chief Executive of a major bank in a highly publicized rights issue case, one of the most expensive lawsuits in UK history.
